1. Acceptance of Terms

("Zinben Tech", "we", "our", or "us"), including our website, software development services, technical consulting, tool development, AI solutions, and developer platform (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). In case of conflict between these Terms and a specific service agreement, the service agreement shall prevail for that particular engagement.

• All fees are exclusive of applicable taxes unless otherwise stated
• Late payments may incur additional charges as specified in service agreements

Unless otherwise agreed in writing, intellectual property rights in deliverables created specifically for you under a service agreement shall transfer to you upon full payment. However, we retain ownership of our pre-existing intellectual property, tools, methodologies, and general know-how.

Our website content, trademarks, logos, and proprietary technology remain our exclusive property. You may not use, copy, or distribute our intellectual property without prior written consent.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of our engagement. This includes business plans, technical specifications, source code, customer data, and other confidential materials. This obligation survives termination of our relationship.

Either party may terminate the engagement as specified in individual service agreements. We reserve the right to suspend or terminate access to our Services for violation of these Terms. Upon termination, provisions regarding intellectual property, confidentiality, limitation of liability, and indemnification shall survive.

13. Account Deletion (Cancellation)

In accordance with the requirements of the Ministry of Industry and Information Technology and applicable laws, you have the right to request deletion of your account and associated personal data.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts in Guangzhou, China.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of our Services after such changes constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
